• Maintain the confidentiality of your login credentials.

• Notify us immediately of any unauthorized use of your account.

You are responsible for all activities conducted under your account.

4. Acceptable Use

You agree not to:

• Use Magnet for unlawful purposes.

• Upload malicious software or harmful content.

• Attempt unauthorized access to the platform.

• Reverse engineer, copy, or redistribute the software.

• Send spam or unsolicited communications.

• Interfere with the security or availability of the platform.

5. Email Integrations

Magnet supports integration with third-party email providers, including Google Gmail and Microsoft Outlook.

By connecting your account, you authorize Magnet to:

• Authenticate your account.

• Read email conversations authorized by you for synchronization and CRM communication history.

• Send emails on your behalf.

• Display your profile information associated with the connected account.

You remain solely responsible for:

- The content of emails sent through Magnet.

- Compliance with applicable anti-spam and privacy laws.

- Maintaining any permissions or consents required to communicate with your contacts.

6. Customer Data

You retain ownership of all Customer Data stored in Magnet.

You are responsible for ensuring that you have the legal right to collect, store, and process all information uploaded to the platform.

7. Intellectual Property

Magnet, including its software, design, trademarks, logos, documentation, and related intellectual property, is owned by Roxiler Systems Private Limited.

These Terms do not grant you ownership of any intellectual property rights in Magnet.

8. Subscription and Payments

Certain features of Magnet may require a paid subscription.

Fees are payable according to the selected subscription plan.

Failure to pay applicable fees may result in suspension or termination of services.

9. Service Availability

We strive to provide reliable service but do not guarantee uninterrupted or error-free operation.

We may perform maintenance, updates, or emergency work that temporarily affects service availability.

10. Suspension and Termination

We may suspend or terminate your access if you:

• Violate these Terms.

• Misuse the platform.

• Engage in fraudulent or unlawful activities.

• Fail to pay applicable fees.

You may stop using Magnet at any time.

11. Disclaimer of Warranties

YOU EXPRESSLY UNDERSTAND AND AGREE THAT THE USE OF THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN AS-IS-AND-AS-AVAILABLE BASIS. ROXILER SYSTEMS PRIVATE LIMITED EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. ROXILER SYSTEMS PRIVATE LIMITED MAKES NO WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR FREE. USE OF ANY MATERIAL DOWNLOADED OR OBTAINED THROUGH THE USE OF THE SERVICES SHALL BE AT YOUR OWN DISCRETION AND RISK AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM, MOBILE TELEPHONE, WIRELESS DEVICE OR DATA THAT RESULTS FROM THE USE OF THE SERVICES OR THE DOWNLOAD OF ANY SUCH MATERIAL. NO ADVICE OR INFORMATION, WHETHER WRITTEN OR ORAL, OBTAINED BY YOU FROM ROXILER SYSTEMS PRIVATE LIMITED, ITS EMPLOYEES OR REPRESENTATIVES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THE AGREEMENT.

12. Limitation of Liability

YOU AGREE THAT ROXILER SYSTEMS PRIVATE LIMITED SHALL, IN NO EVENT, BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, SPECIAL, PUNITIVE, OR OTHER LOSS OR DAMAGE WHATSOEVER OR FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, COMPUTER FAILURE, LOSS OF BUSINESS INFORMATION, OR OTHER LOSS ARISING OUT OF OR CAUSED BY YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF MAGNET HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. IN NO EVENT SHALL ROXILER SYSTEMS PRIVATE LIMITED'S ENTIRE LIABILITY TO YOU IN RESPECT OF ANY SERVICE, WHETHER DIRECT OR INDIRECT, EXCEED TEN THOUSAND RUPEES (₹10,000) OR THE FEES PAID BY YOU DURING THE TWELVE (12) MONTHS PRIOR TO THE FIRST EVENT GIVING RISE TO SUCH LIABILITY, WHICHEVER IS HIGHER.

13. Indemnification

You agree to indemnify, defend, and hold harmless Roxiler Systems Private Limited, its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, losses, fines, penalties, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of Magnet in violation of these Terms;

• Your violation of any applicable law or regulation;

• Any Customer Data, content, or materials that you upload, store, process, or transmit using Magnet;

• Emails or communications sent using Magnet that violate applicable laws or third-party rights;

• Your infringement of any intellectual property, privacy, or other rights of any third party.

This obligation does not apply to claims arising solely from the negligence or willful misconduct of Roxiler Systems Private Limited.

14. Confidentiality

Roxiler Systems Private Limited will treat Customer Data as confidential and will not access, use, or disclose such data except:

• to provide and maintain the Services;

• with your authorization;

• as required by law; or

• to protect the security and integrity of the Services.

15. Modifications

We may modify these Terms or the Magnet platform from time to time.

Continued use of the platform after such changes become effective constitutes acceptance of the revised Terms.

16. Governing Law

These Terms shall be governed by the laws of India.

Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Pune, Maharashtra, India.
